Company formation in Riyadh follows the same national process as anywhere in Saudi Arabia: registration with the Ministry of Investment, then the commercial registration. What is specific to the capital is everything around it: ministries and large public buyers, the regional headquarters programme, a tight office market and a municipal licence issued by the Riyadh municipality.

Riyadh is Saudi Arabia's political and administrative capital. Ministries, regulators and most state funds and state-owned companies are headquartered there. If you sell to government, to large Saudi groups or into public projects, this is where decisions are made.
It is also the largest city: Riyadh governorate had 7.0 million residents at the 2022 census, about 52% of them non-Saudi, according to open data from the Royal Commission for Riyadh City. Corporate demand is dense, and so is competition.
Choosing Riyadh does not change the legal framework: the rules for company formation in Saudi Arabia are national. It changes the registered address, the competent municipality, the chamber of commerce, the office budget and your access to buyers. Jeddah (Red Sea port, trade) and Dammam-Khobar (energy, industry) serve different needs.
The programme targets multinational groups that base their Middle East headquarters in Saudi Arabia, mostly in Riyadh. An SME opening its first subsidiary does not need it. Conditions below come from the guideline of ZATCA (Zakat, Tax and Customs Authority), second version, May 2026.

Established business corridor
Along Olaya Street and King Fahd Road: Kingdom Centre and Al Faisaliah towers, bank head offices and many business centres. Served by the metro. A sensible choice for a first office.
Newer stock
Al Malqa, Hittin, Al Yasmin, Al Aqiq: recent buildings and office parks. Some companies relocate here to get away from the more congested central areas.
Institutions
Embassies, international organisations and a few office buildings in a quieter setting. Useful for businesses that work with foreign missions.
A registered lease is required for the national address and the municipal licence. The figures below are indicative annual rents excluding service charges; check them when you sign.

The Riyadh Metro, inaugurated in late 2024, has 6 lines, 85 stations and 176 km of track. The first lines opened on 1 December 2024 and the full network has run since 5 January 2025. It links Olaya, KAFD and the airport among others; many journeys are still made by car.
Renting a home, opening a personal bank account or bringing your family requires a residence permit (iqama). You get it through employment in your company or, without an employer, through Premium Residency. Residential leases are also registered on Ejar.
The weekend is Friday and Saturday, and summers are very hot. International schools and the residential districts most expatriates look for are mainly in the north of the city.
Yes. For most activities a foreigner can own 100% of a Riyadh company after registering with the Ministry of Investment. Some activities remain excluded or come with conditions (capital, a Saudi partner), so check before filing.
Government set-up fees are the same as in the rest of the country: about SAR 1,900 to 2,500 for the trade name, incorporation and publication, plus MISA fees set on approval. Yes, a lease registered on Ejar is needed for the national address and the municipal licence. A business-centre desk is usually enough to start; a private office makes sense once you hire.
Only if you are a multinational group that wants to sign public contracts above SAR 1 million directly, or to run the region from Saudi Arabia. An SME opening a subsidiary does not need one, and the RHQ substance requirements are demanding.
The Ministry of Investment states 10 working days for a complete file. Including document preparation, commercial registration and the municipal licence, allow 4 to 8 weeks in practice, based on service providers' estimates.
Riyadh suits businesses that sell to government, large groups and public projects. Jeddah suits trade, imports through the Red Sea and the Hejaz market. The procedure is identical, and offices there are usually cheaper.
