Company formation for residents in Saudi Arabia: from employee to owner of your own company

If you already live and work in Saudi Arabia on an iqama, you can own a company, but not by opening a sole proprietorship the way a Saudi citizen does. Company formation for residents in Saudi Arabia goes through the Ministry of Investment (MISA), then a commercial registration (CR) from the Ministry of Commerce, then a transfer of your residency to that company. Here is what residents may and may not do, step by step.

In brief

  • A foreign resident who works for an employer cannot simply open a sole proprietorship in their own name: the Investment Law requires every non-Saudi investor to register with MISA before investing (Article 7), and the Labour Law bars a worker from working for their own account (Article 39).
  • For residents, company formation in Saudi Arabia therefore means a company, usually a limited liability company (LLC), registered with MISA and then with the Ministry of Commerce, which issues the CR.
  • MISA's Investor Guide (13th edition, 2026) gives residents three practical routes: invest through a company they own abroad, use the entrepreneur track with a no-objection letter from their employer, or hold Premium Residency, which waives the foreign-company documents.
  • Once the CR is issued, your company takes over your sponsorship and changes your occupation to general manager or investor; the guide lists one working day for this at the Passports Directorate, after Ministry of Human Resources approval.
  • Running a business under a Saudi citizen's name is commercial concealment (tasattur): up to 5 years in prison and a fine of up to SAR 5 million, followed by deportation of the non-Saudi.

Can a resident open a commercial registration in Saudi Arabia?

Yes, as a foreign investor

Company formation in Saudi Arabia is open to residents, but as a foreign investor, not as the owner of a sole proprietorship. The Investment Law defines a foreign investor as any natural or legal person without Saudi nationality, and requires them to register with MISA before investing (Article 7). Holding a valid iqama does not change that status.

What the Ministry of Commerce page says

The Ministry of Commerce service page for a sole proprietorship CR does not mention nationality. It asks that the applicant be at least 18, not a government employee, and not already own an active sole proprietorship. That is why many online answers, and some AI summaries, say residents can apply directly.

The two rules that apply to employees

Two other rules apply to an employed resident first. One is the Investment Law. The other is Article 39 of the Labour Law: a worker may not work for another employer or for their own account. A sole proprietorship is therefore not the route for a foreign resident; a MISA-registered company is.

Which routes are open to residents who want their own company?

MISA's Investor Guide (13th edition, 2026) sets out several registration categories. Three of them fit a resident who wants to own a company.

Through a company you own abroad

Standard route

Your foreign company becomes the shareholder of the Saudi company. The guide asks for its certified CR and its latest annual accounts. This is the cleanest route if you already run a company at home, even a small one.

A start-up backed by an incubator or university

Entrepreneur track

Meant for innovative or technology projects with growth potential. You need a support letter from an accredited business incubator or a Saudi university. If you live in the Kingdom, the guide also asks for a no-objection letter from your employer and a copy of your iqama.

Registering as a Premium Residency holder

Premium Residency

Holders are exempt from providing a foreign-company CR and accounts, and their residency is not tied to a sponsor. Costs and criteria are on our Premium Residency page.

Check the activity and choose the route

We check the activity code (ISIC4) and that it is not on the list of activities closed to foreign investment. Then we pick the route: your foreign company, the entrepreneur track, or Premium Residency.

What happens to your iqama once your company sponsors you?

After the transfer, your company is the employer on your iqama. MISA's guide lists the owner and manager occupations, such as investor, general manager and CEO, and renews a general manager's iqama against a CR that carries their name.

Your residency then depends on the company staying in good standing. If the CR is suspended or struck off, your status in the Kingdom is affected, and so are the iqamas of family members added to yours. The annual CR confirmation and the annual MISA update are not things to leave to chance.

The company also falls under Saudisation (Nitaqat) from its first hire. Entities with 5 employees or fewer must employ one Saudi national. See Saudisation and Nitaqat before you recruit.

How much does a CR cost for a foreign resident?

Known government fees for an LLC owned by a foreign investor. They do not include any service provider's fees.

Frequently asked questions

Can an iqama holder open a business in Saudi Arabia?

Yes, through a company registered with MISA, not through a sole proprietorship in their own name while sponsored by an employer. The Investment Law requires non-Saudis to register before investing, and the Labour Law bars workers from working for their own account. Once registered, the Ministry of Commerce issues the company's CR.

Can a resident open a sole proprietorship (mu'assasa fardiya)?

The Ministry of Commerce service requires the owner to be at least 18, not a government employee and not already own an active sole proprietorship. It does not fit an employed foreign resident because of the Investment Law and the Labour Law. The alternative is an LLC, which can have a single shareholder.

Do I need my employer's consent to set up a company?

On the entrepreneur track, MISA's guide asks residents for a no-objection letter from their employer. To move your sponsorship to your own company, it asks for a resignation letter certified by the Chamber of Commerce. Since 14 March 2021, you can change employer without consent when your contract expires.

How long does company formation take for residents in Saudi Arabia?

Count 10 working days for MISA registration once the file is complete, then a 72-hour service time for the CR. Post-CR registrations take about 1 to 3 weeks (estimate), and the sponsorship transfer one working day at Passports according to the guide. Time spent with your employer depends on your contract.

Can I transfer my sponsorship to my own company?

Yes, once the CR and MISA registration are in place. The company requests the transfer of your services on Qiwa, then the change of occupation to general manager or investor with the Passports Directorate. Your iqama then depends on your company and the standing of its CR.

How much does it cost a foreigner to get a CR in Saudi Arabia?

For an LLC: SAR 1,200 for incorporation and SAR 500 for publication, plus 15% VAT, about SAR 1,955, plus the trade name (SAR 200 or 500). MISA sets its registration fee case by case on approval. The CR is then confirmed every year for SAR 1,200 from the second year.

Can I register a business under a Saudi friend's name and run it myself?

No. That is commercial concealment, punishable by up to 5 years in prison and a fine of up to SAR 5 million, with deportation of the non-Saudi. The legal route is registering your own investment with MISA.

Do I need a Saudi partner as a resident?

Not in most activities: a foreign investor can own 100% of an LLC after MISA registration. Some categories require a Saudi share: 25% for trading, if the conditions for fully foreign-owned trading are not met. Check yours on our requirements for foreigners page.
